甲、乙双方在长期业务合作过程中,为了纳入正常的轨迹,本着实事求是、平等互利的原则,特制定本协议,以资共同遵守.
一．甲方为乙方加工的产品为3”,3.5”和4”规格的电镀铰链,以及所涉及的有标示或不标示的铰链.
二．乙方要求甲方加工的订单产品,需保证甲方有生产能力.具体进行生产以双方书面确认为准.当年的第四季度,双方应确认下一年的具体加工业务生产量,以保证甲方的生产正常运转.
三．甲方加工产品出货后,因产品存在严重质量问题,乙方应在收到货物后45天内提出异议,并提供相应的书面材料,否则甲方不予认可.
四．甲、乙双方在业务合作中,由于原材料和汇率存在不特定的因素,所有产品的价格需每隔半年双方确认一次.甲方每批出货后,乙方必须在30—45天付清货款.
五．甲、乙双方必须共同遵守,如一方违约,违约方应支付守约方人民币30万元整.
六．甲、乙双方在业务合作中所签署的备忘录和补充协议与本协议具有同等的效力.
七．本协议甲、乙双方发生纠纷,先行协商.协商不成,则有甲方所在地人民法院予以解决.
八．本协议自甲方加工产品全部出运完毕,乙方付清货款后终止.
九．本协议经甲、乙双方签字或盖章后生效.
十．本协议一式二份,甲、乙双方各执一份.

One.PartyAPartyBprocessingproductsforthe3",3.5"and4"hingesplatingspecifications,andinvolvedmarkedornotmarkedhinge.
II.ProcessingoforderstorequestPartyBproducts,theneedtoensurePartyAhastheproductioncapacity.Productiontothepartiesinwritingspecificconfirmation.Thefourthquarteroftheyear,bothsidesshouldrecognizethespecificprocessingoperationsthefollowingyearproductioncapacity,toensurethenormaloperationoftheproductionofParty.
III.Partyprocessedproductsshippedaftertheproducthasseriousqualityproblems,PartyBshallwithin45daysofreceiptofthegoodstochallenge,andprovidewrittenmaterial,orPartynotbeaccepted.
IV.A,Bandcooperationbothinthebusiness,becausethereisnospecificrawmaterialsandexchangeratefactors,thepricesofallproductstobeonceeverysixmonths,bothsidesconfirmed.AftereachshipmentPartyBshallmakepaymentin30-45days.
Five.A,Bandbothpartiesmustabideby,suchastheoneparty,thedefaultingpartyshallpaytheentireobservant300,000yuan.
VI.A,BandthetwosidessignedbusinesscooperationagreementsandmemorandumandsupplementhavethesameeffecttothisAgreement.
VII.Theagreementofbothpartiesindisputeinadvanceofconsultations.Negotiationfails,therearethepeople'scourtwherePartyAtoberesolved.
VIII.ThisAgreementshallallbeshippedPartyfinishedprocessedproducts,arepaidaftertheterminationofB.
IX.Thisagreementofbothpartiesenterintoforceaftersignatureorseal.
Ten.ThisAgreementinduplicate,AandBareequallyvalid.
