　　2.1ThisAgreementshallbecomeeffectiveuponitsexecutionbythepartiesheretoandshallcontinueinforcefor12monthsfromtheexecutiondateoftheAgreementunlessearlierterminatedunderArticle3.

　　3.1EitherpartymayterminatethisAgreementiftheotherpartycommitsamaterialbreachofthisAgreementandsuchbreachiseithernotcurable,ornotcuredbydefaultingpartywithin(15)daysfromthedatewhenthedefaultingpartyreceivedthewrittennoticefromthenon-defaultingparty,orifeitherpartymakinganassignmentforthebenefitofcreditors,orbeingadjudgedbankrupt,orinsolvent,orfilinganypetitionseekingforitselfanyarrangementfordissolutionandliquidationofitsinterests.

　　3.2Notwithstandingforegoing,PartAmayterminateatanytimethisAgreementbygivingtoPartBthirtydayspriorwrittenterminationnoticewithoutanyreason.

　　3.3IfthisAgreementisterminatedforanyreasonattributablePartAbeforethetermexpires,PartAwillpaythecostsandexpensesactuallyusedandincurredinaccordancewiththePartB’spromptwrittenreportwithinthelimitationofConsultantFee.

　　3.4IfthisAgreementisterminatedforanyreasonattributablePartBbeforethetermexpires,PartBwillpaytenpercent(10%)oftheConsultantFeeasliquidateddamages.

　　Article4.ConsultantFee

　　4.1InconsiderationoftheServicerenderedbyPartB,PartAagreestopayPartBCNY500,000asPartB’sconsultantfee(“ConsultantFee”)againstPartB’sinvocies.
