　　16.1Parties’Relationship.TherelationshipofthePartiesisthatofindependentcontractors.NothinginthisAgreementauthorizeseitherPartyoritsemployeestoactastheotherParty’sagentorrepresentative.NeitherParty’semployees,agentsorcontractorswill,underanycircumstances,beconstruedtobetheotherParty’semployees,agentsorcontractors.IfthePartiesuseanyinconsistenttermsinanyothercontext,thatwillrefertothespiritofcooperationbetweenthePartiesandnotadifferentrelationship.Onoccasion,3MmayprovideinformationtoSelleraboutmanufacturing,safety,health,environmentalandothermatters,butSellerexercisesitsownindependentjudgmentontheseissues.3M’sprovisionof,orfailuretoprovide,anysuchinformationdoesnotafterSeller’sobligationsunderthisAgreement.

　　16.2Assignment,Subcontractors.Sellerwillnotassign,transfer,ordelegateanyofitsrights,duties,interests,orobligationsunderthisAgreementincludingasubcontract(an“Assignment”)without3M'spriorwrittenconsent.An“Assignment”willalsoincludeanytransferof:(a)atleastfiftypercentofSeller’sassetsorownership;or(b)thatpartofSeller’sbusinessthatrelatestothisAgreementorthoseSellerassetsemployedinSeller’sperformanceunderthisAgreement.AnyAssignmentmadewithout3M’spriorwrittenconsentwillbevoidandmay,at3M'selection,becauseforterminationofthisAgreement.NoonewillbeathirdpartybeneficiaryofthisAgreement.
