　　Inenteringintothiscontract,sellerandbuyerrecongnizethatitisimpracticaltomakeprovisionforeverycontingencywhichmayariseduringthelifeofthiscontract.sellerandbuyerconcurintheprinciplethatthiscontractshallbecarriedoutbetweenthetwopartieswithfairnessandwithoutdetrimenttotheinterestsofeitherparty,andifinthecourseoftheperformanceofthecontractanyinfringementofthisprincipleisanticipatedordisclosed,thensellerandbuyershallpromptlyconferinthegoodfaithwitheachothertoagreeuponsuchanactionasmatbenecessarytoremovetheclauseorclauseofsuchinfringement.

　　Buyeruudertakethatallthenecessaryimportlicensesandallotherauthorizationsrequiredforcopperconcentrateshavebeenobtained(and/orwillbeobtained)fortheentirequantitycoveredbythiscontract.buyerfurthermoreguaranteesthatsuchlicenseswillremaininforceforthefulllifeofthecontract.

　　(2).Fileapetitionorotherwisecommenceorauthorizethecommencementofaproceedingunderanybankruptcyorsimilarlawfortheprotectionofcreditorsorhaveanysuchpetitionfiledorproceedingcommencedagainstitoritsassets.
